Terms of Service

These Terms of Service (“Terms”) govern your access to and use of 121Notes (the “Service”), a product of Pure Sight & Sound, Inc., a Pennsylvania corporation (“Company”, “we”, “us”, or “our”). By creating an account, scanning a badge, unlocking a lead, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

121Notes is a trade show lead capture and event intelligence platform. The Service allows event organizers to manage events, vendors and their staff to scan visitor badges and capture leads, and visitors to record their own conversation notes. Vendors may pay to unlock the full contact details of leads they capture.

To use most features of the Service, you must register an account. You must be at least 18 years old and capable of entering into a binding contract. You agree to provide accurate, current, and complete information and to keep your account credentials confidential. You are responsible for all activity that occurs under your account.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any law or regulation;
• Scan, capture, or unlock contact information for any visitor without a legitimate business purpose at the event where the visitor consented to attend;
• Use captured contact information for spam, harassment, or any communication that violates the CAN-SPAM Act, TCPA, GDPR, CCPA, or any other applicable privacy or marketing law;
• Resell, sublicense, or share captured contact information with third parties outside your organization;
• Reverse engineer, decompile, or attempt to derive source code from the Service;
• Interfere with or disrupt the Service, its servers, or networks;
• Use automated tools (bots, scrapers) to access the Service except as expressly permitted by us in writing.

Vendors may pay to unlock full contact details (full name, email, phone number, and zip code) for leads captured at events. The following terms apply to all vendor payments:

• Pricing: $1.00 USD per lead unlocked. A unique lead is defined as one unique visitor per vendor organization per event. Multiple staff members scanning the same visitor count as a single lead and incur a single charge.
• No minimum order: You may unlock as few or as many leads as you want in a single checkout. There is no minimum number of leads per transaction.
• Currency: All charges are in U.S. dollars (USD).
• Payment processor: Payments are processed by Stripe, Inc. We never see or store your full card details. By paying, you also agree to Stripe’s Services Agreement.
• Statement descriptor: Charges will appear on your credit card statement as 121NOTES.COM.
• Tax: Prices are tax-inclusive where required by law. Stripe Tax calculates and collects applicable sales tax automatically.
• Delivery: Lead unlocks are digital goods delivered immediately upon successful payment. Once delivered, they are not generally refundable. See our Refund Policy for exceptions.
• Authorization: By initiating a checkout, you authorize Pure Sight & Sound, Inc. to charge your selected payment method for the displayed amount.

Visitors and event organizers do not pay to use the Service. Visitor accounts are free for personal note-taking and networking. Event organizer pricing, when introduced, will be communicated in advance and added to these Terms.

Refunds are governed by our Refund Policy, which is incorporated by reference into these Terms.

The Service, including all software, design, content, and trademarks, is owned by Pure Sight & Sound, Inc. or its licensors and is protected by U.S. and international copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

You retain ownership of the notes and content you create within the Service. By using the Service, you grant us a worldwide, royalty-free license to host, store, and display your content solely for the purpose of operating the Service.

Our collection and use of personal information is described in our Privacy Policy. By using the Service, you consent to the data practices described there.

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied. To the fullest extent permitted by law, Pure Sight & Sound, Inc. disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by law, Pure Sight & Sound, Inc. and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of your use of the Service. Our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100.00).

You agree to indemnify and hold harmless Pure Sight & Sound, Inc. and its officers, directors, employees, and agents from any claim, demand, loss, or damages, including reasonable attorneys’ fees, arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including billing, intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

We may update these Terms from time to time. The “Last updated” date at the top of this page indicates when these Terms were last revised. Material changes will be communicated by email or by posting a prominent notice in the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of laws principles. You and Pure Sight & Sound, Inc. agree to submit to the exclusive jurisdiction of the state and federal courts located in Monroe County, Pennsylvania for any dispute arising out of or relating to these Terms or the Service.
